General Terms and Conditions of Sale
1. Company identification
These General Terms and Conditions of Sale and Service (GTC) govern all services offered by SOLASTA PRODUCTION, a simplified joint-stock company (SAS), whose registered office is located at:

SOLASTA PRODUCTION is involved in audiovisual and photographic production and creative consulting, including:
the production of films and videos
photographic production
documentaries
event recordings
art direction
audiovisual post-production
Consulting and strategic support in visual communication.
All services are subject to a prior quote specifying, in particular:
the scope of the mission
expected deliverables
indicative delivery times
financial conditions
the terms and conditions for the transfer or licensing of usage rights.
2. Quote and order confirmation
Quotes issued by SOLASTA PRODUCTION are valid for a period of thirty (30) days, unless otherwise stated.
The order is considered firm and final as of:
written validation of the quote by the client
(handwritten signature, electronic signature or email confirmation)and, where applicable, the payment of the requested deposit.
Validation of the quote implies full and complete acceptance of these Terms and Conditions.
Any modification to the initial order must be the subject of a written amendment and may result in a revision:
deadlines
of the mission's scope
rates.
3. Organization of the service
The client agrees to provide all the information necessary for the proper execution of the service, including:
the schedules
the locations and conditions of access
the schedule
the interlocutors
any technical or organizational constraints.
Any delay or lack of information attributable to the client may result in:
a delay in service
a change in delivery times.
Any additional hours not included in the quote may be subject to additional billing.
4. Prices and financial terms
Prices are expressed in euros excluding tax (HT) unless otherwise stated.
Unless explicitly stated in the quote, the prices do not include:
travel expenses
accommodation
restoration
rental of specific equipment
broadcasting or licensing rights
administrative authorizations
specific insurance policies.
Depending on the nature of the project, a deposit may be required upon ordering.
Unless otherwise stipulated, the balance is payable upon delivery of the deliverables or according to the schedule provided in the quote.
5. Payment delays
Any delay in payment will automatically and without prior notice result in:
the application of late payment penalties calculated on the basis of the applicable legal rate
as well as a fixed compensation of €40 for recovery costs, in accordance with Article L441-10 of the Commercial Code.
6. Suspension of benefits
In the event of non-payment of an installment due as specified in the quote or the corresponding invoice, SOLASTA PRODUCTION reserves the right to:
suspend the performance of the service
postpone the delivery of deliverables
until full payment is received.
This suspension cannot be considered a breach of contract.
7. Completion deadlines
The completion times provided are indicative only.
SOLASTA PRODUCTION cannot be held responsible for delays related in particular to:
due to a delay in customer validation
to modifications requested during the project
due to the lack of necessary information
to circumstances beyond his control.
8. Art Direction
The client acknowledges having read and understood the artistic style and visual universe of SOLASTA PRODUCTION.
The service is delivered in line with this creative approach.
Artistic choices falling under the creative direction of the service provider cannot constitute grounds for dispute.
9. Performance of the service
The service includes:
the taking of photographs or recordings
content selection
post-production of images or videos.
The number of items delivered corresponds to the number indicated in the quote.
Only selected and processed content is delivered to the client.
10. Selection of images and content
The final selection of images or sequences is made by SOLASTA PRODUCTION in order to guarantee:
artistic coherence
the quality of the final output.
Unselected images or content will not be transmitted, unless specifically agreed upon.
11. Additional Selection
If the client wishes to access an expanded gallery or participate in the selection of images, a selection session can be arranged.
This selection time, as well as any additional images selected and processed, will be subject to additional billing.
12. Retouching and post-production
The service includes the necessary adjustments for the final result:
colorimetric processing
contrast
reframing
global harmonization.
Unless otherwise stated in the quote, the service does not include back-and-forth revisions.
Any additional requests may be subject to a charge.
The customer has fifteen (15) days after delivery to submit their comments.
If no response is received within this timeframe, the deliverables are considered to be definitively validated.
13. Source files
Raw files (RAW, video rushes or source files) are not part of the service.
They are only provided upon specific request from the client and may be subject to additional charges.
14. File Delivery
The deliverables are provided in digital format:
Photographs
→ High-definition JPEG via download link.
Videos
→ in the format specified in the quote.
Delivery times are indicated in the quote and may vary depending on the post-production workload.
15. File archiving
SOLASTA PRODUCTION retains the files for a maximum period of three (3) months after delivery.
Beyond this period, the preservation of the delivered files or the source files cannot be guaranteed.
It is the client's responsibility to ensure the backup of the delivered files.
16. Additional Content
Any additional image, video or content requested beyond the number specified in the quote will be subject to additional billing.
17. Exceeding the time limit
Any hour started beyond the time specified in the quote may be billed.
18. Unforeseen Events
SOLASTA PRODUCTION cannot be held responsible for events beyond its control that may prevent or disrupt the performance of the service, including:
weather conditions
access to the premises
organizational constraints
major technical problems.
A suitable solution can be proposed in consultation with the client.
19. Responsibility
SOLASTA PRODUCTION is bound by an obligation of means.
It cannot be held liable for indirect damages such as:
loss of earnings
loss of revenue
commercial damage.
The service provider's liability is limited to the total amount excluding VAT of the service concerned.
20. Third-party authorizations and rights
The client guarantees that they have all the necessary authorizations for the creation and use of the produced content, including:
image rights of people filmed or photographed
filming permits
rights relating to places
rights relating to works, trademarks or visible elements.
SOLASTA PRODUCTION cannot be held responsible for the absence or insufficiency of these authorizations.
21. Intellectual Property
Unless otherwise stated in the quote, all intellectual property rights relating to the creations produced by SOLASTA PRODUCTION remain its exclusive property.
A limited usage license may be granted to the client according to the terms and conditions set out in the quote:
supports
territories
duration
purpose.
Any use not contractually provided for requires prior written authorization.
22. Retention of Title
The deliverables remain the property of SOLASTA PRODUCTION until full payment of the corresponding invoice.
In the event of non-payment, SOLASTA PRODUCTION reserves the right to suspend the granted usage rights.
23. References and communication
Unless the client expressly objects, SOLASTA PRODUCTION reserves the right to:
mention the client's name
use the work produced
for the purposes of:
portfolio
website
social networks
professional communication.
24. Subcontracting
SOLASTA PRODUCTION may use partner service providers or technicians to carry out certain tasks.
SOLASTA PRODUCTION remains the client's sole contractual contact.
25. Cancellation
Any cancellation must be reported as soon as possible.
Depending on the progress of the project or the proximity of the service date, cancellation fees may apply.
26. Personal data
The personal data collected within the framework of the business relationship is processed in accordance with the Privacy Policy available at:

In accordance with the GDPR, the customer has the right to access, rectify, object to and delete their data.
27. Force majeure
SOLASTA PRODUCTION cannot be held liable in the event of impossibility of performing the service due to a force majeure event, including but not limited to:
natural disaster
strike
major technical failure
administrative restrictions.
28. Applicable Law and Disputes
These Terms and Conditions are governed by French law.
In the event of a dispute, the parties agree to seek an amicable solution.
In the absence of an agreement, disputes will be brought before the competent courts of the jurisdiction of the registered office of SOLASTA PRODUCTION, unless otherwise provided by mandatory legal provision.
